    Canada has just adopted a much more aggressive transparency regime, with real registration, investigative, and enforcement mechanisms. This regime now affects businesses, their executives, and their intermediaries, not only foreign states.

  2. Corporate organizational chart: are you properly structured?
    With the rapid evolution of tax rules and governance practices, many technology companies are realizing that their corporate structure is no longer aligned with their growth, their investors, or their international operations.

  3. Selling or buying a business: how can differences of opinion on value be bridged?

    In the current context, where revenue predictability and the valuation of intangible assets are more difficult to determine, technology transactions are increasingly relying on deferred pricing clauses, including earn-outs. These clauses help bring the parties closer together when the seller and the buyer cannot agree on immediate value.
